IMPORTANT: By accessing or using the Site and the services we provide, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of the Terms, you must not use our Site or services.
The Company operates NCLEXRUS, an online educational platform for internationally educated nurses preparing to take the NCLEX‑RN examination in the United States. We provide paid subscription access to online courses, question banks, practice exams, videos, study materials and related content (collectively, the "Services"). The Services are intended for personal educational use only and are not a source of professional medical advice.
2.1 Contract Formation. These Terms form a legally binding agreement between you and the Company when you create an account, purchase a subscription or otherwise use the Services.
2.2 Age Requirement. You must be at least 16 years old (or the legal age of digital consent in your jurisdiction) and legally capable of entering into contracts. If you access the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
2.3 Restricted Jurisdictions. Use of the Services may not be permitted in some jurisdictions. You are responsible for complying with local laws and regulations in the country from which you access the Services.
3.1 Account Creation. To access paid content, you must create an account and provide accurate, current and complete information. You are responsible for updating your details as necessary.
3.2 Account Security. You are responsible for keeping your login credentials confidential and for all activities that occur under your account. Notify us immediately of any unauthorised use.
3.3 One Account Per Person. Accounts are personal and non-transferable. You may not share your credentials or content with others. The Company reserves the right to suspend or terminate accounts that are shared or used in violation of these Terms.
4.1 Subscription Plans. Our current subscription prices and inclusions are displayed on the relevant course page and at checkout. Unless otherwise stated, prices are in U.S. dollars and exclude applicable taxes.
4.2 Recurring Billing. Subscriptions automatically renew at the end of each billing cycle. You authorise us or our payment processor (see Section 5) to charge your payment method on the renewal date unless you cancel beforehand.
4.3 Trials & Promotions. Any free trials or promotional offers are subject to additional conditions as stated at sign‑up. We reserve the right to modify or terminate a trial with reasonable notice.
4.4 Taxes. You are responsible for any value‑added tax (VAT), goods and services tax (GST), sales tax or other taxes that may apply, unless they are collected at checkout by our payment processor.
4.5 Price Changes. We may modify our subscription pricing for future billing cycles. We will provide reasonable prior notice (via email or in‑platform messaging) before new pricing takes effect.
4.6 Payment Information. You agree to maintain valid and up‑to‑date payment information in your account. If a payment is unsuccessful or your method is declined, we may suspend your access until payment is received.
5.1 Merchant of Record. All payments are processed by Paddle.com Market Ltd. ("Paddle"), who acts as the merchant of record for our Services. Paddle handles invoicing, chargebacks and remits applicable taxes on our behalf.
5.2 Paddle Terms. Your purchase is also subject to Paddle's buyer terms and policies, available at paddle.net. Paddle may appear as the payee on your bank or card statement.
5.3 Disputes & Support. For billing issues, please contact us at info@nclexrus.com or Paddle via their buyer support channels. We will use reasonable efforts to resolve payment disputes.
6.1 Self‑Service Cancellation. You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period; no additional charges will be made.
6.2 Refund Eligibility. In summary:
You have a three‑day window after purchase to request a refund if you have not accessed any of the paid content, including Qbank, videos or readiness exams.
You may be eligible for a full refund under our NCLEX Pass Guarantee if you do not pass the exam on your first attempt and meet specified criteria.
Refund requests must be made within the timeframes and conditions defined in the Refund Policy and accompanied by any required documentation (e.g., evidence of exam failure).
6.3 Refund Method. Approved refunds will be processed to the original payment method via Paddle. Depending on your bank or card issuer, it may take several business days for funds to appear in your account.
6.4 Statutory Rights. Nothing in these Terms affects your statutory rights. If you are resident in a country with mandatory consumer rights, you may have additional rights, described in Section 18.
7.1 Limited License. Subject to these Terms and full payment of applicable fees, we grant you a personal, revocable, non‑exclusive, non‑transferable, non‑sublicensable licence to access and use the Services for your own educational purposes.
7.2 Personal Use Only. You may access course materials only for personal study. You may not resell, rent, lease, sublicense, distribute, broadcast, publicly perform, publicly display or otherwise exploit our content without our prior written permission.
7.3 No Sharing. Subscription materials are licensed for a single user. Sharing your login or course content with others, including copying or distributing exam questions, study guides or video lectures, is prohibited and may result in account termination.

All course content, exam questions, videos, images, software, documentation and other materials included in the Services are protected by copyright, trademark and other intellectual property laws. The Company or its licensors retain all rights, title and interest in and to the content. Nothing in these Terms grants you any rights to use our trademarks or other branding without prior written permission.
10.1 User Content. If the Services allow you to upload, submit or post content (e.g., comments in a student forum), you retain ownership of your content but grant the Company a worldwide, non‑exclusive, royalty‑free, sublicensable licence to use, reproduce, modify, distribute, display and perform such content for the operation and improvement of the Services. You represent that you have the necessary rights to grant this licence.
10.2 Feedback. If you provide feedback or suggestions about our Services, we may use them for any purpose without compensation to you. You waive any rights to any intellectual property in feedback provided.
The Services may incorporate or link to third‑party content (e.g., embedded videos, analytics tools, external resources). We are not responsible for third‑party content or terms. Your use of third‑party services is subject to their terms and policies.
12.1 Educational Purpose. The Services are provided solely for educational and exam preparation purposes.
12.2 No Professional Advice. We do not provide medical, nursing or legal advice. While we endeavour to provide accurate, up‑to‑date content, we do not guarantee exam success unless expressly stated under the terms of the NCLEX Pass Guarantee.
13.1 Exam Ownership. "NCLEX" and associated marks are owned by the National Council of State Boards of Nursing (NCSBN). NCLEXRUS is not affiliated with or endorsed by the NCSBN. Our use of the NCLEX mark is for identification purposes only.
13.2 Compliance with Laws. We comply with applicable laws and regulatory requirements in jurisdictions where we offer services. If you access our Services from within the European Union, you may have additional rights under the EU Digital Services Act (DSA) and Digital Markets Act (DMA). Where these laws apply, we provide clear, plain-language terms and procedures for reporting illegal content, and we will appoint an EU representative if legally required.
13.3 Accessibility. We strive to make our content accessible. If you require accommodations to access our materials due to a disability, please contact us at info@nclexrus.com.
13.4 Data Protection. We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) where relevant. We will facilitate data access, portability and deletion rights as required by law.
14.1 Modifications. We may update, enhance or remove features or content from the Services at any time to improve functionality, security or educational value. If changes materially reduce your access during a paid subscription, we will offer a reasonable remedy (such as an extension or credit).
14.2 Availability. We endeavour to make the Services available 24/7 but do not guarantee uninterrupted access. Planned outages for maintenance will be communicated via the Site or email when possible. Unexpected downtime may occur; we are not liable for damages arising from service interruptions.
15.1 Suspension. We may suspend your access if we reasonably believe you have violated these Terms, failed to pay fees or engaged in fraudulent or unlawful activity. We will attempt to notify you and may restore access if the issue is resolved.
15.2 Termination by User. You may terminate your account at any time by cancelling your subscription and ceasing use of the Services.
15.3 Termination by Company. We may terminate your account and licence to use the Services at our discretion, subject to providing notice where required by law. Upon termination, your right to access and use the Services ceases. Sections that by their nature should survive termination will continue to apply (e.g., intellectual property, limitations of liability, indemnity).
16.1 AS IS. The Services are provided on an "as is" and "as available" basis. To the fullest extent allowed by law, we expressly disavow all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non‑infringement.
16.2 No Guarantee of Outcome. Except for the specific circumstances outlined in our NCLEX Pass Guarantee, we make no guarantee that completion of our courses will result in passing the NCLEX or obtaining any particular outcome.
To the maximum extent permitted by applicable law:
Some jurisdictions do not allow certain limitations. If laws applicable to you prohibit the exclusion or limitation of certain damages, those limitations may not apply to you. In that case, liability will be limited to the maximum extent permitted by law.
18.1 EU/UK Consumers. Residents of the European Union or the United Kingdom may have additional consumer rights under the Consumer Rights Directive, Digital Services Act and other local legislation, including statutory withdrawal rights for digital services that have not yet been accessed. Where required, we will provide clear instructions on exercising these rights and any cancellation forms.
18.2 US Consumers. Consumers in certain U.S. states may have specific statutory rights (e.g., California Civil Code Section 1789.3). If you are a resident of such a state, you may contact us in writing for assistance or complaint resolution at info@nclexrus.com.
18.3 Canada, Australia & Other Regions. Local consumer protection laws may provide additional warranties or rights that cannot be waived. These Terms do not override any mandatory rights you have under local law.
You agree to indemnify and hold harmless the Company, its affiliates, directors, officers, employees and agents from and against any claims, damages, liabilities, losses or expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any third‑party rights.
These Terms are governed by the laws of the State of New York, USA, without regard to conflict‑of‑law principles. You and the Company agree to submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York for any disputes arising from or relating to the Terms or the Services, unless mandatory law requires a different forum. You waive any right to a jury trial where permitted.
We may include an arbitration clause in the future if we adopt an alternative dispute resolution process. If included, the clause will comply with applicable law (e.g., the Federal Arbitration Act) and will be provided to you separately.
We may revise these Terms from time to time. When we do, we will update the "Effective Date" at the top and post the revised Terms on the Site. Material changes will be notified via email or an in‑platform message. Continued use of the Services after the revised Terms become effective constitutes your acceptance of the changes.
We may provide legal notices to you via email (using the address associated with your account) or by posting a notice on the Site. You are responsible for keeping your contact information current. You may send legal notices to us at info@nclexrus.com and to our postal address above.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, sale of assets or by operation of law, subject to providing notice and complying with applicable laws.
These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and the Company regarding the Services and supersede all prior or contemporaneous understandings. If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed and the remainder will remain in full force and effect.
